Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and SourcePad ("SourcePad," "we," "us," or "our"). By creating an account, accessing, or using the SourcePad website, web application, browser extension, or any related software or services (together, the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

We may update these Terms from time to time. If we make a material change, we will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Services after an update means you accept the updated Terms.

2. Who may use the Services

You must be at least 18 years old and legally able to enter into a contract in your jurisdiction to use the Services. If you use the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" in these Terms refers to both you and that entity.

3. Your account

To use most features of the Services you must create an account. You agree to provide accurate, current, and complete information when registering, and to keep that information up to date. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us immediately at justin@sourcepad.io if you suspect unauthorized access.

4. Description of the Services

SourcePad provides software tools that help ecommerce sellers and importers analyze margins, track inventory, manage suppliers and purchase orders, and monitor operational data across supported sales channels. The Services include web-based dashboards, a browser extension, reporting features, and related tools.

The Services may include connections to third-party platforms (for example, online marketplaces or logistics providers) at your direction. You are responsible for your use of those third-party platforms and for complying with their terms. SourcePad does not endorse, control, or guarantee the availability or accuracy of any third-party service.

5. Subscriptions, billing, and cancellation

The Services are offered on a paid subscription basis. Current plans and prices are shown on our pricing page. By subscribing, you authorize SourcePad to charge your chosen payment method the recurring subscription fee plus any applicable taxes for each billing cycle until you cancel.

Payment processing. All payments are processed by Stripe, Inc. ("Stripe"). Your payment card data is submitted directly to Stripe and is handled in accordance with Stripe's terms and privacy policy. SourcePad does not store full payment card numbers.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle, and you will continue to have access to paid features through the end of that cycle. SourcePad does not provide refunds for partial billing cycles except where required by law.

Price changes. We may change the price of a subscription plan going forward. We will provide at least 30 days' notice before a price change takes effect for your account. If you do not agree to the new price, you may cancel before it takes effect.

6. Your data and content

You retain all rights to the data, files, and content that you upload, enter, or connect to the Services ("Your Data"). You grant SourcePad a non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit Your Data solely as needed to provide the Services to you and to operate, secure, and improve the Services in accordance with our Privacy Policy.

You represent that you have all rights necessary to upload Your Data and that Your Data does not violate any law or third-party right. You are responsible for maintaining your own backups of Your Data.

7. Acceptable use

You agree not to, and not to permit any third party to:

• Use the Services for any illegal purpose or in violation of any law;
• Copy, resell, sublicense, rent, or otherwise commercially exploit the Services, except as expressly permitted;
• Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent applicable law prohibits this restriction;
• Upload or transmit any malicious code, virus, or content that infringes or violates the rights of others;
• Use the Services to harass, abuse, or harm another person, or to collect data about others without authorization;
• Interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to the Services or related systems;
• Bypass or defeat any security, rate limit, access control, or usage measurement mechanism of the Services.

8. Intellectual property

The Services, including all software, designs, text, graphics, logos, and other content provided by SourcePad, are owned by SourcePad or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, SourcePad grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes. No other rights are granted by implication or otherwise.

9. Third-party platforms and integrations

The Services may allow you to connect to third-party platforms and integrations ("Third-Party Services") at your direction. When you enable a Third-Party Service, you authorize SourcePad to access, retrieve, and process data from that Third-Party Service on your behalf as necessary to provide the Services. Your use of any Third-Party Service is governed by that provider's own terms and privacy policy. SourcePad is not responsible for any Third-Party Service.

10. Termination

You may stop using the Services and cancel your subscription at any time as described in Section 5. SourcePad may suspend or terminate your access to the Services if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Services. We will attempt to give you reasonable notice where practicable. Upon termination, your right to use the Services ends, and any provisions of these Terms that by their nature should survive termination will survive.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SOURCEPAD DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOURCEPAD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOURCEPAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF SOURCEPAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOURCEPAD'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO SOURCEPAD FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, AND IN THOSE JURISDICTIONS THE LIMITS ABOVE APPLY TO THE GREATEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless SourcePad and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, Your Data, or your violation of these Terms or of any law or third-party right.

14. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. You and SourcePad agree that any court action permitted under these Terms will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

15. Changes to the Services

SourcePad may modify, add, or remove features of the Services at any time. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

16. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and SourcePad regarding the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You may not assign these Terms without our prior written consent; SourcePad may assign these Terms at its discretion.
